Welcome to LedgerDock! These Terms of Service ("Terms") govern your use of our financial reporting platform and services. By creating an account or using our services, you agree to be bound by these Terms.

Service Description

LedgerDock provides cloud-based financial reporting services including:

• Profit & Loss statement generation
• Balance sheet creation
• Cash flow reporting (direct and indirect methods)
• Trial balance reports
• Financial data import and management
• PDF export capabilities

Beta Program Terms

During the beta period:

• All services are provided free of charge
• Features may change or be discontinued without notice
• We may request feedback on your experience
• Service availability is not guaranteed (though we strive for high uptime)

Account Registration

Eligibility

• You must be at least 18 years old to use LedgerDock
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account
• One person may not maintain multiple accounts

Account Responsibilities

• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized account access
• You are responsible for all activities under your account
• Provide accurate company and financial information

Acceptable Use Policy

You May:

• Upload your legitimate financial data for reporting purposes
• Generate and download financial reports for your business
• Use our services for lawful business accounting purposes
• Provide feedback and suggestions during the beta period

You May NOT:

• Upload fraudulent, false, or misleading financial data
• Attempt to access other users' accounts or data
• Use our services for illegal activities or money laundering
• Reverse engineer, copy, or redistribute our software
• Overwhelm our systems with excessive automated requests
• Share your account credentials with others
• Use our services to compete with LedgerDock

Data Ownership and Usage

Your Data Rights

• You retain full ownership of your financial data
• You can export your data at any time
• You can delete your data and account at any time
• We will not sell or share your financial data with third parties

License to LedgerDock

By uploading data to LedgerDock, you grant us a limited license to:

• Process your data to generate financial reports
• Store and backup your data securely
• Provide customer support related to your data
• Improve our services (using aggregated, anonymized data only)

Service Availability

Beta Service Level

Planned Downtime

• We will attempt to provide advance notice of planned maintenance
• Emergency maintenance may occur without notice
• We strive to minimize service interruptions

Data Backup

• We perform regular automated backups of all user data
• However, you should maintain your own backups of important financial data
• We are not liable for data loss, though we work hard to prevent it

Future Pricing and Billing

Beta Period

• All services are currently free during beta development
• No payment information is required to use beta services
• Beta access has no expiration date

Transition to Paid Service

• We will provide at least 60 days notice before implementing any charges
• Beta users will receive advance notice of pricing plans
• You may continue using free tier features (if available) or upgrade to paid plans
• You may export your data and close your account at any time

Intellectual Property

LedgerDock's Rights

• LedgerDock owns all rights to our software, platform, and technology
• Our trademarks, logos, and branding are protected
• The "Wheelbarrow Approach" methodology is our intellectual property
• You may not copy, reproduce, or create derivative works of our platform

Your Rights

• You retain all rights to your financial data and business information
• You may use our platform to generate reports for your business purposes
• You may not resell or redistribute reports generated by our platform

Limitation of Liability

Service Limitations

• LedgerDock processes the data you provide but cannot verify its accuracy
• We provide tools, not accounting advice
• You should review all generated reports before using them for business purposes
• We recommend consulting with certified accountants for complex situations

Liability Limits

• During the beta period, our services are provided "as is"
• We are not liable for business decisions made based on generated reports
• Our liability is limited to the amount you have paid for services (currently $0)
• We are not liable for indirect, consequential, or punitive damages

Privacy and Security

Account Termination

• Account closure will delete all your data within 30 days

• Binding arbitration for disputes that cannot be mediated

Severability and Integration

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the complete agreement between you and LedgerDock regarding your use of our services.

Beta Program Specific Terms

Feedback and Suggestions

• We welcome and encourage feedback about our platform
• Any feedback you provide may be used to improve our services
• Feedback does not grant you any rights to future features or services
• You will not be compensated for feedback or suggestions

Feature Changes

• Features may be added, modified, or removed during beta development
• We will attempt to provide notice of major changes when possible
• Some experimental features may be discontinued

Beta User Benefits

• Free access to all current and future beta features
• Priority consideration for feature requests
• Early access to new capabilities
• Direct communication channel with development team

Force Majeure

LedgerDock will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or other acts of nature
• Government actions, regulations, or sanctions
• Internet service provider failures or cyber attacks
• Third-party service outages that affect our platform

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and LedgerDock. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and LedgerDock.

No modification of these Terms will be effective unless made in writing and signed by an authorized representative of LedgerDock.
